1. Acceptance of Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", or "your") and Tech Labs FZ LLC ("BusinessCalc", "we", "us", or "our"), governing your access to and use of the website located at https://businesscalc.org, including all static HTML pages, computational software scripts, statutory standards indexes, interactive calculators, side-by-side comparison guides, exported subledger tools, and related digital assets (collectively, the "Platform").
BY ACCESSING, BROWSING, OR UTILIZING ANY CALCULATOR, FORMULA ENGINE, CSV EXPORT HANDLER, OR DOCUMENTATION ON THIS PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN FULL. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND MUST DISCONTINUE USE IMMEDIATELY.
This Agreement applies to all visitors, registered enterprise contacts, Corporate Controllers, CFOs, financial analysts, and web users who access the Platform worldwide.
2. Key Definitions
To provide clarity across this Agreement, the following terms carry specific legal definitions:
- "Platform": The static HTML5, CSS, design tokens, and client-side JavaScript financial software tools hosted at
https://businesscalc.organd its subdirectories. - "Calculators": The 116 institutional mathematical software engines offered across FP&A, Record to Report, Order to Cash, Procure to Pay, and Payroll Operations.
- "User Inputs": Proprietary numerical data, period assumptions, salaries, balance sheet accounts, interest rates, and financial figures entered into browser forms by users.
- "ERP Exports": Client-side generated NetSuite, SAP, or QuickBooks formatted CSV files, journal entry templates, or PDF summaries created by the user using our action handlers.
- "Statutory Standards": Reference guides and citations regarding FASB ASC codifications, IRS Publication 946 MACRS tables, and FLSA 29 CFR 778 overtime regulations.
3. License & Permitted Use
Subject to your strict compliance with these Terms, BusinessCalc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, internal business modeling, educational, and corporate decision-making purposes without payment of royalty fees.
Under this license, you are explicitly permitted to:
- Access all 116 calculators and 25 side-by-side comparison tools for corporate financial planning.
- Input proprietary trial balance figures, payroll rates, and inventory costs into client-side browser forms.
- Generate and export client-side CSV files, PDF summaries, and ERP journal entry templates for internal audit review.
- Share scenario URLs containing encoded client-side parameters with colleagues and executive team members.
Except as expressly permitted herein, no part of the Platform or source code may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for commercial resale without our prior written consent.
4. Intellectual Property Ownership
The Platform, including all underlying HTML source code, CSS design token architecture, client-side JavaScript calculation algorithms, graphic lockups, wordmarks, SVG visual charts, technical article guides, mathematical derivations, and UI layouts, is the exclusive intellectual property of BusinessCalc and its licensors, protected by United States and international copyright, trademark, trade secret, and intellectual property laws.
User Data Ownership: You retain 100% full, unencumbered ownership of all User Inputs entered into our tools and all financial output data generated by your browser. BusinessCalc claims zero ownership, license, or control over your proprietary trial balance figures or financial projections.
5. Acceptable Use & Prohibited Conduct
You agree to use the Platform strictly for lawful purposes and in accordance with these Terms. You explicitly agree NOT to engage in any of the following prohibited activities:
- Do NOT execute automated web scraping, crawling, screen-scraping, or bulk data extraction bots targeting our static pages without explicit written authorization.
- Do NOT attempt to decompile, reverse-engineer, disassemble, or extract proprietary client-side JavaScript mathematical engines for commercial software duplication.
- Do NOT frame, mirror, or embed BusinessCalc tools inside third-party commercial software applications or iframe wrappers without clear attribution and permission.
- Do NOT utilize the Platform for unlawful financial misrepresentation, fraudulent tax filings, or illegal corporate accounting schemes.
- Do NOT interfere with, overload, or disrupt edge CDN infrastructure, WAF security firewalls, or launch denial-of-service (DoS) attacks against our host servers.
- Do NOT bypass or attempt to circumvent security measures designed to limit automated request rates or bot traffic.
6. No Accounting, Tax or Legal Advice Disclosure
THE CALCULATORS, FORMULAS, GUIDES, STATUTORY CITATIONS, AND ERP EXPORTS PROVIDED ON THIS PLATFORM ARE FOR INFORMATIONAL, MODELING, AND EDUCATIONAL PURPOSES ONLY. ACCORDINGLY, BUSINESSCALC DOES NOT PROVIDE LICENSED CERTIFIED PUBLIC ACCOUNTANT (CPA) SERVICES, REGISTERED INVESTMENT ADVISER (RIA) COUNSEL, FORMAL TAX PREPARATION, OR LEGAL ADVICE.
Financial calculations rely on standardized GAAP/IFRS mathematical definitions and user-entered values. They do not substitute for audited financial statements, formal tax filings, or professional consultation with a licensed professional. 7. Calculation Accuracy & "As-Is" Nature
While BusinessCalc strives for 100% mathematical precision across all 116 calculators and verifies algorithms against statutory references (such as FASB ASC codifications, IRS Publication 946 MACRS tables, and FLSA 29 CFR 778 overtime rules), calculations are provided strictly on an "AS-IS" and "AS-AVAILABLE" basis.
The accuracy of output figures depends directly on the accuracy of your User Inputs, period assumptions, tax rates, and macro environment variables. BusinessCalc makes no guarantees that calculator results will reflect actual tax liabilities, corporate audit outcomes, or statutory compliance reviews. You accept full responsibility for verifying output accuracy prior to executing corporate decisions.
8. Third-Party Links & ERP Exports
The Platform may display links to third-party standards bodies (e.g., FASB, IRS, CFA Institute, AICPA) or generate client-side ERP subledger files formatted for NetSuite, SAP, or QuickBooks. These references and export structures are provided solely for user convenience. BusinessCalc is not affiliated with, sponsored by, or endorsed by NetSuite, SAP, QuickBooks, or regulatory standards agencies.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUSINESSCALC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR SPECIFIC CORPORATE REQUIREMENTS, THAT CALCULATIONS WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT STATIC SERVERS ARE FREE OF VIRUSES OR MALICIOUS COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BUSINESSCALC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, SAVINGS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR CALCULATOR OUTPUTS.
THIS LIMITATION APPLIED REGARDLESS OF WHETHER THE CLAIMED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BUSINESSCALC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
11. Indemnification Obligation
You agree to defend, indemnify, and hold harmless BusinessCalc, its officers, directors, owners, developers, and agents from and against any third-party claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any third-party intellectual property or privacy right; or (d) your corporate financial decisions, tax filings, or ERP reconciliations based on calculator outputs.
12. Termination of Access
We reserve the right, in our sole discretion and without prior notice, to terminate or restrict your access to the Platform or block specific IP addresses if we determine that you have violated these Terms, engaged in automated scraping, launched malicious network floods, or compromised platform security infrastructure.
13. Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the competent courts of the United Arab Emirates (or the applicable free-zone authority) for the resolution of any dispute arising under these Terms.
14. Dispute Resolution & Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or your use of the Platform shall be resolved through binding individual arbitration administered under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) or the competent courts of the United Arab Emirates.
YOU AND BUSINESSCALC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
15. Severability & Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and BusinessCalc regarding the Platform.
16. Modifications to Terms
We reserve the right to revise or update these Terms at any time to reflect technological changes, regulatory mandates, or operational enhancements. Revisions become effective immediately upon posting to this page with an updated "Last Updated" date. Continued use of the Platform following posted revisions indicates your acceptance of the updated Terms.
